The move ends weeks of speculation that Penders was considering leaving Texas.
"You're going to have to put up with me a little bit longer," Penders said after emerging from an afternoon meeting with Dodds and school President William Cunningham. "Nothing is in contract form yet, but everything is very clear."
The contract includes a base salary of $105,000 per year and an annuity package.
Penders also will receive income supplements based on victories, losses, recruiting and academic success, Dodds said.
Penders led teams to the NCAA Tournament three years in a row. This year, the Longhorns went 24-9 and reached the NCAA Midwest Regional final before losing to Arkansas 88-85.
\ Oklahoma is dropping its women's basketball program, which was ranked in the Top Twenty three years ago but has failed in 16 years to attract supporters.
The Sooners were nationally ranked in 1985-87, reaching No. 11 in 1986, but have had losing seasons the past two years.
\ The late Hank Gathers is among six college basketball players voted to the Los Angeles Athletic Club-John R. Wooden "All-American" team, making him a finalist for the 1990 Wooden Award.
Also voted to the six-man first team were Derrick Coleman of Syracuse, Lionel Simmons of LaSalle, Larry Johnson of Nevada-Las Vegas, Gary Payton of Oregon State and Chris Jackson of Louisiana State.

\ Bo Kimble, the eye of an emotional hurricane that carried Loyola Marymount to the NCAA West Regional final, promises to do whatever he can financially to sustain Gathers' family.
Kimble, who played high school ball with Gathers on a city championship team at Philadelphia's Dobbins Tech, said he would provide Gathers' family with financial assistance after he signs what promises to be a lucrative NBA contract.
"I would try my best to make sure that they'll be able to live a good life," said Kimble.
\ Former Florida basketball coach Norm Sloan says the NCAA investigation of the Gators centers on airline tickets purchased for two former players and could result in the program being placed on probation.
"This thing is a foregone conclusion. They're going to name these things [airline tickets] major violations," Sloan told The Orlando Sentinel. "They're going to put [the basketball team] on probation for a year, maybe two years, but one year with sanctions, because it's in the best interests of all parties for that to happen. You've got a stacked deck against you."
