Hawke said he informed Governor-General Bill Hayden it was clear from Saturday's election that he had a workable majority in the 148-seat House of Representatives, which choses the government.
Hawke, in power since 1983, said he expected to announce his new Cabinet before Wednesday.
Andrew Peacock, who came close to becoming the next prime minister, conceded defeat and said he will resign as head of the conservative opposition.
